All legal entities created on the territory of the Republic of Kazakhstan are subject to state registration, regardless of the purpose of their creation, the type and nature of their activities, the composition of participants (members).
Branches and representative offices of legal entities located on the territory of the Republic of Kazakhstan are subject to registration without acquiring the right of a legal entity.
State registration of legal entities and accounting registration of branches and representative offices are carried out for the following purposes: certification of the fact of creation, re-registration, registration of changes and additions made to the constituent documents, reorganization and termination of the activities of a legal entity, as well as creation, accounting re-registration, registration of changes and additions made to the documents and termination of the activities of branches and representative offices.
According to the Law of the Republic of Kazakhstan dated 02.04.2019. "On amendments and additions to certain legislative acts of the Republic of Kazakhstan on the development of the business environment and regulation of trade activities" the functions of state registration of legal entities, branches and representative offices related to commercial organizations were transferred from the justice authorities to the State Corporation "Government for Citizens".
In this connection, the state registration of legal entities that are non-profit organizations and the accounting registration of their branches and representative offices is carried out by the judicial authorities.

Individuals and (or) legal entities directly submit an application in accordance with the annexes to the Rules for the Provision of Public Services in the field of State Registration of Legal Entities and Accounting Registration of branches and representative offices, approved by the order of the Acting Minister of Justice of the Republic of Kazakhstan dated 29.05.2020 No. 66 and the corresponding package of documents on the list.
The application with the attached documents is submitted to the NAO GC "Government for Citizens", when submitting documents, the applicant can contact the operator who accepts the documents with all questions, or for legal advice, the applicant has the right to contact the Legal Information Service of the Ministry of Justice of the Republic of Kazakhstan at number 119.
Article 18 of the Law of the Republic of Kazakhstan" On State Registration of Legal Entities and Registration of Branches and Representative Offices " provides for liability for violation of the law.
Thus, for failure to submit within a month information about changes in the data of a legal entity, entailing its state re-registration in accordance with the procedure established by law, responsibility is imposed in accordance with the laws of the Republic of Kazakhstan.
Article 466 of the Code of the Republic of Kazakhstan" On Administrative Offenses " states that the implementation of activities without re-registration of a legal entity, its branches and representative offices in cases provided for by law entails a warning or fine for officials, small businesses or non-profit organizations in the amount of ten, for medium – sized businesses – in the amount of twenty, for large businesses-in the amount of forty monthly calculation indicators.
Untimely notification of the registration authority of a change in the location of a legal entity entails a warning or fine for officials, small businesses or non-profit organizations in the amount of five, for medium-sized businesses-in the amount of ten, for large businesses-in the amount of thirty monthly calculation indices.
