Law of the Republic of Kazakhstan "On Rehabilitation and Bankruptcy"

The Law of the Republic of Kazakhstan "On Rehabilitation and Bankruptcy" aims to regulate relations arising from a debtor's inability to fulfill its obligations to creditors and defines the procedure for restoring the debtor's solvency or liquidating it in accordance with the established procedure. The main goal of the Law is to ensure a balance between the interests of the debtor and creditors, protect their rights and legitimate interests, and maximize the satisfaction of creditors' claims.

One of the key areas of the Law is the rehabilitation procedure, which is a set of organizational, financial, economic, investment, and legal measures aimed at restoring the debtor's solvency. Rehabilitation allows for the preservation of an operating enterprise, jobs, and production facilities, ensuring the possibility of continued business operations. The primary tool of this procedure is the rehabilitation plan, which outlines measures for the financial recovery of the enterprise and a schedule for satisfying creditors' claims.

The bankruptcy procedure, applied in cases where restoring the debtor's solvency is impossible, occupies a prominent place in the Law. Bankruptcy is the court's recognition of the debtor's insolvency, which serves as the basis for its liquidation and the sale of assets to satisfy creditors' claims. The Law defines the grounds for declaring a debtor bankrupt, the bankruptcy procedure, and the rights and obligations of parties to the process.

Particular attention is paid to protecting creditors' rights. The law establishes the procedure for creating a register of creditors' claims, holding creditor meetings, and the activities of the creditors' committee. Creditors participate in key decision-making during rehabilitation and bankruptcy proceedings, monitor the administrator's activities, and have the right to receive information on the progress of the proceedings.

One of the important components of the legislation is challenging debtor transactions made to the detriment of creditors. The law provides for the possibility of invalidating transactions aimed at concealing property, gratuitously alienating assets, preferentially satisfying the claims of individual creditors, or otherwise reducing the debtor's assets. Such measures facilitate the recovery of assets and increase the ability to satisfy creditors' claims.

Of particular importance are the rules governing the liability of the debtor's founders and officials. In cases of deliberate bankruptcy, concealment of assets, failure to transfer documentation, or other violations of the law, the guilty parties may be held liable on a subsidiary basis. This mechanism is aimed at preventing abuse and ensuring the integrity of economic participants.

The law also provides detailed regulations for the activities of temporary administrators, rehabilitation managers, and bankruptcy trustees, who analyze the debtor's financial condition, identify assets and liabilities, ensure compliance with the law, and represent the interests of all parties involved. The effective performance of administrators is a key factor in the successful completion of rehabilitation and bankruptcy proceedings.

Thus, the Law of the Republic of Kazakhstan "On Rehabilitation and Bankruptcy" represents an important legal mechanism aimed at restoring the solvency of debtors, protecting the rights of creditors, increasing the transparency of economic relations and ensuring a fair resolution of financial difficulties of business entities.
