State registration of legal entities includes checking the compliance of documents submitted for state registration with the legislation of the Republic of Kazakhstan, issuing them a certificate of state registration with the assignment of a business identification number, entering information about legal entities in the national register of business identification numbers.
Registration of branches and representative offices includes checking the compliance of documents submitted for registration with the legislative acts of the Republic of Kazakhstan, issuing them a certificate of registration with the assignment of a business identification number, entering information about branches and representative offices in the national register of business identification numbers.
State registration of legal entities and accounting registration of branches and representative offices are carried out in order to:
- certifying the fact of creation, re-registration, registration of changes and additions to the constituent documents, reorganization and termination of the legal entity, as well as the creation, re-registration, registration of changes and additions to the documents and termination of branches and representative offices;
- accounting of established, re-registered, reorganized and discontinued legal entities, as well as established, re-registered and discontinued branches and representative offices on the territory of the Republic of Kazakhstan;
maintaining the National register of business identification numbers;
implementation of publicly available information about legal entities, their branches and representative offices (with the exception of information constituting an official or commercial secret) in accordance with the legislation of the Republic of Kazakhstan.
All legal entities created on the territory of the Republic of Kazakhstan are subject to state registration, regardless of the purpose of their creation, the type and nature of their activities, the composition of participants (members).
Branches and representative offices of legal entities located on the territory of the Republic of Kazakhstan are subject to registration without acquiring the right of legal entity.
State registration of legal entities that are non-profit organizations and registration of their branches and representative offices is carried out by the justice authorities.
The state registration of legal entities that are commercial organizations and the registration of their branches and representative offices is carried out by the state Corporation "Government for citizens" (registration authorities).
