Control over mergers and acquisitions is one of the most important components of the antitrust regulation of the market structure, which is aimed at preventing the concentration of market power in one hand. In the process of exercising control over transactions, the antimonopoly authority may establish certain requirements that justify obtaining permission to conclude a transaction.

The institution of a trustee has been widely used in the practice of antimonopoly authorities of foreign countries, as it provides a professional, expert approach to the implementation of the decision of the antimonopoly authority and independent monitoring, jointly developing optimal solutions with business and carrying out constructive interaction with the antimonopoly authority.

The trustee must be independent and appointed or approved by the antimonopoly authority even in the case of complex business consolidation operations, as well as if it is necessary to monitor the fulfillment of conditions of a behavioral nature.

In order to ensure monitoring and control over compliance with the terms of transactions on economic concentration, the agency for the protection and development of competition approved the Register of trustees.
