In recent days, the Ministry of Justice of Kazakhstan has received many questions regarding the renaming of the capital from representatives of legal entities.
According to clause 3 of Article 43 of the Law “On Legal Acts”, normative legal acts imposing new obligations on citizens or worsening their situation are not retroactive. In this regard, we report the following:
official documents of legal entities, in which the former name of the capital is indicated, do not lose their legal force;
the change of the name of the capital does not impose a duty on representatives of legal entities to notify the judicial authorities about the change of the name of the capital, re-registration of constituent and title documents (charter, purchase and sale agreements, etc.), as well as the seal.
Change of documents will be carried out in stages, after their expiration date or in case of their loss.
Thus, the indication in the documents of the former name of the capital does not entail their invalidity.
On the issue of legality, during public procurement, electronic trading, etc., the former name of the city in the constituent documents of legal entities, we recommend contacting their organizers.
